Sundaram-Clayton Resolves Governance Issue by Making Company Secretary Full-Time Employee

Sundaram-Clayton, a prominent Indian company, has taken decisive action to resolve a governance issue that had sparked a series of boardroom developments. Following concerns raised by Lakshmi Venu regarding the company secretary's employment status, the company has made P.D. Dev Kishan a full-time employee, bringing him in line with the company's governance processes.

According to sources close to the developments, Lakshmi Venu had raised the issue of the company secretary not being a full-time employee of Sundaram-Clayton, but rather being on the roster of another group company. This structure was not in compliance with the company's governance requirements, which specify that the company secretary must be a full-time employee, one level below the board.

The recent boardroom developments at Sundaram-Clayton have seen significant changes, including the resignation and reinstatement of P.D. Dev Kishan, and the stepping down of chairman R Gopalan. Venu Srinivasan, the executive chairman, has taken up the mantle of chairman, a move that was unanimously welcomed by the board and the family.

Sources close to the company have clarified that Venu Srinivasan's assumption of the chairman role is not a change, but rather a continuation of his existing role as managing director. This move is part of a shared commitment to governance standards and institutional strengthening, rather than a disagreement between Lakshmi Venu and her father.

Lakshmi Venu continues to have complete control of Sundaram-Clayton's operations, and her role remains unchanged. She continues to handle operations, customers, plants, and other key responsibilities. Venu Srinivasan's assumption of the chairman role does not affect Lakshmi Venu's role, and the two continue to work together in their respective capacities.

In 2022, a family arrangement split the group's businesses under siblings, with Lakshmi Venu leading Sundaram-Clayton and Sudarshan Venu taking charge of TVS Holdings, the key investment arm of the group. This arrangement created clearly defined spheres of influence, and Lakshmi Venu's focus on business operations has remained unchanged.
