Sun Pharmaceutical Industries to Acquire Organon & Co in $11.75 Billion Deal
Sun Pharmaceutical Industries, India's largest drugmaker by market value, has announced its plans to acquire US-based drugmaker Organon & Co in an all-cash deal worth approximately $11.75 billion, including debt. This acquisition marks the largest overseas deal by an Indian pharmaceutical company, positioning Sun Pharmaceutical Industries as a significant player in the global market.
The acquisition is part of Sun Pharmaceutical Industries' strategy to expand its presence in higher-margin specialty medicines, specifically in areas such as dermatology, oncology, and obesity. The company aims to offset declining US sales through this move. By acquiring Organon & Co, Sun Pharmaceutical Industries will gain access to a portfolio of more than 70 women's health and general medicines sold across approximately 140 countries, adding global scale and a steady cash-generating business to its specialty pipeline.

Organon & Co will also provide Sun Pharmaceutical Industries with access to emerging markets such as China, Brazil, and South Korea, helping the company scale up as a branded and specialty drugs player.
The acquisition is expected to be completed within 8-9 months, with Sun Pharmaceutical Industries planning to fund the deal through a combination of cash and committed bank financing. Organon & Co carries net debt of approximately $8.6 billion as of December 31, 2025, which will be integrated into Sun Pharmaceutical Industries' balance sheet.
