Tata Trusts Dispute Escalates Over Governance and Board Representation

The Tata Trusts, a influential philanthropic group, are embroiled in an escalating governance dispute that has led to a Charity Commissioner's direction to defer a scheduled board meeting. According to a statement issued by the Trusts, the direction was issued ex-parte, with no notice being given to the Sir Ratan Tata Trust (SRTT) and no hearing being afforded to it.

The controversy centers around Section 30A(2) of the Maharashtra Public Trusts Act, amended in 2025, which caps the number of perpetual or life trustees at one-fourth of the total trustee strength in cases where the trust deed does not expressly permit such appointments. The Tata Trusts statement alleges that a complaint filed by advocate Katyayani Agrawal on April 18, a representation by trustee Venu Srinivasan on April 28, and a Bombay High Court order on May 13 in a related writ petition are linked to the direction.

The dispute has also spilled into the Bombay High Court, where a writ petition seeking a stay on the May 16 meetings of Sir Dorabji Tata Trust and Sir Ratan Tata Trust was withdrawn earlier this week after the court questioned the manner in which the plea had been filed. The governance battle has gained significance because Tata Trusts collectively hold a majority stake in Tata Sons, the holding company of the Tata group, giving the trusts substantial influence over strategic decisions at India's largest conglomerate.

The controversy has also coincided with reported differences within Tata Trusts over board representation at Tata Sons. Recent reports suggested that resolutions concerning the future of Venu Srinivasan on the Tata Sons board and possible board-level changes were expected to come up for discussion at recent trust meetings. Separate internal disagreements within the Trusts had already intensified after the proposed reappointments of Venu Srinivasan and Vijay Singh at Tata Education and Development Trust reportedly failed to secure unanimous support.

The Tata Trusts have argued that the amendment to the Maharashtra Public Trusts Act is prospective in nature and does not affect appointments made before September 1, 2025, the date on which the amendment came into force. The Trusts have also obtained legal opinions and clarifications supporting this interpretation. The directions issued by the Charity Commissioner's office are currently being examined.
