TA Associates Enters Exclusive Negotiations to Acquire Majority Stake in Samarth Lifesciences

American private equity firm TA Associates has taken a significant step towards acquiring a substantial majority stake in Mumbai-based pharmaceutical player Samarth Lifesciences. According to multiple industry sources, TA Associates has entered into exclusive negotiations with the promoter group of Samarth Lifesciences, edging ahead of rival suitors in the process.

Samarth Lifesciences is a good asset, and TA Associates is now considered the front-runner to complete the deal. The private equity firm is highly interested in the opportunity and has aggressive expansion plans in the pharmaceutical space. The promoters of Samarth Lifesciences are in value-unlocking mode, and the plan is to hand over a controlling stake to a new incoming investor and scale the company further. The promoter family may not fully exit and could retain a part stake.

Deal Valuation Exceeds Rs 4,000 Crore

The target firm is in the domestic formulations and injectables segment, which is considered attractive by TA Associates. Advanced negotiations are underway, and considering a control premium, Samarth Lifesciences could be valued in excess of Rs 4,000 crore. However, it is essential to note that no final decision has been made, and the talks could still fall apart.

TA Associates' India Playbook

TA Associates has invested in Indian assets for over 15 years, with some notable bets including NSE, BillDesk, IndiraIVF, AU Small Finance Bank, Dr Lal PathLabs, TCNS Clothing, Fractal Analytics, and OmniActive Health Technologies. Specifically in the pharma segment, TA Associates has invested in firms like Ideal Cures, Synokem Pharmaceuticals, and Shilpa Medicare.

According to private markets data platform Tracxn, for FY24-25, Samarth Lifesciences posted revenues of Rs 624.8 crore and a net profit of Rs 102.1 crore. The company is an innovative life sciences firm that researches, develops, manufactures, and markets a wide range of life-saving drugs, particularly in critical care, anaesthesia, gastroenterology, oncology, ophthalmology, urology, IVF, gynaecology, and animal healthcare.

TA Associates manages more than $60 billion in assets globally, making the proposed acquisition of Samarth Lifesciences one of the biggest deals in terms of ticket size struck by the private equity firm in India.
