The Securities and Exchange Board of India (SEBI) has given its approval to the proposed strategic investment by State Street Global Advisors (SSGA) in Groww Asset Management Limited (Groww AMC), a subsidiary of Billionbrains Garage Ventures Limited, the parent entity of the popular investment platform Groww.
According to a filing with the stock exchanges on Monday, SEBI has taken on record the proposed change in shareholding of Groww AMC, paving the way for SSGA to acquire a minority stake without altering the existing control structure of the asset manager. The approval, dated June 1, 2026, follows earlier approvals from Groww's board in January and the Competition Commission of India (CCI) in March.
Under the transaction, SSGA will secure approximately 22.94% economic interest and 4.85% voting rights in Groww AMC on a fully diluted basis. The investment, estimated at around Rs 580 crore ($65-70 million), is structured through a mix of primary capital infusion and secondary share sales. This partnership values Groww AMC at roughly Rs 2,500 crore, marking a strong return on Groww's earlier acquisition of the erstwhile Indiabulls Mutual Fund in 2023 for just Rs 175 crore.
