AvenuesAI Limited Eyes Expansion into AI-Led Embedded Finance with Proposed Investment in RatnaFin Capital
AvenuesAI Limited has announced plans to acquire a minority stake of up to 2.5 per cent in RatnaFin Capital, a non-banking financial company (NBFC) focused on small and medium enterprise (SME) financing. This strategic move is part of AvenuesAI's expansion into AI-led embedded finance and digital lending, as stated in a regulatory filing on May 29.
The board of AvenuesAI Limited has approved the proposed investment, which aligns with the company's "liability-light" lending model. Under this model, AvenuesAI will operate as an AI-driven distribution and orchestration platform while partner NBFCs manage underwriting, capital deployment, and lending operations. This approach allows AvenuesAI to leverage its payments infrastructure, enterprise communication tools, and merchant distribution network to expand embedded lending offerings.
RatnaFin Capital, headquartered in Ahmedabad, boasts a lending book of more than Rs 2,000 crore. The proposed partnership is expected to combine AvenuesAI's capabilities with RatnaFin Capital's lending expertise to strengthen the company's position in the digital lending infrastructure segment.

AvenuesAI plans to utilize platforms such as CCAvenue, Rediff, and RediffPay to offer merchant-focused credit products like working capital finance and invoice discounting. Notably, lending exposure and balance-sheet risks will remain with regulated NBFC partners, ensuring a secure and compliant lending environment.
As part of its expansion strategy, AvenuesAI aims to develop AI-led analytics systems that support risk monitoring and customized lending products across its digital platforms. This move marks the company's transition into an AI-first financial infrastructure and transaction intelligence platform.
Vishal Mehta, Chairman and Managing Director of AvenuesAI, has stated that the company is evolving into a platform that owns transaction intelligence, merchant workflows, AI-led automation, embedded finance, and intelligent financial ecosystems. This shift is expected to drive value creation in the fintech industry over the next decade.
