Adani Power Enters into Definitive Agreements to Acquire Stake in Jaiprakash Power Ventures Ltd

Adani Power shares surged over 2% on May 21 after the company entered into definitive agreements with Jaiprakash Associates Ltd (JAL) to acquire a 24% stake in Jaiprakash Power Ventures Ltd (JPVL) and the 180 MW Churk thermal power plant in Uttar Pradesh, as part of the NCLT-approved resolution plan for JAL.

The company has signed a Share Purchase Agreement for acquiring JAL's 24% stake in JPVL for approximately Rs 2,993.6 crore. It has also entered into a Business Transfer Agreement to acquire the Churk thermal power plant and related assets, including JAL's 11.49% stake in Prayagraj Power Generation Company Ltd, for Rs 1,200 crore. These acquisitions will significantly strengthen Adani Power's generation portfolio and deepen its presence in the thermal power sector, while also enabling it to gain strategic exposure to JPVL's diversified energy and mining assets.

JPVL is primarily engaged in the business of thermal and hydro power generation, as well as coal mining, sand mining, and cement grinding. The company presently owns and operates three power plants with an aggregate capacity of 2,220 MW, a 2 MTPA Cement Grinding Unit, and a 3.92 MTPA Coal Mine.

At 10:18 am on May 21, Adani Power shares were trading 2% higher at Rs 224.87 apiece.

The acquisition is part of the broader Adani Group-led resolution plan for debt-ridden JAL, which was secured earlier this year through Adani Enterprises Ltd. The resolution plan was approved by the National Company Law Tribunal (NCLT) and upheld by the National Company Law Appellate Tribunal (NCLAT) for a total consideration of Rs 14,535 crore.
